Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AVMS.AI platform (“Platform”), operated by AVMS.AI (“we,” “us,” or “our”). By creating an account or using the Platform, you agree to these Terms on behalf of your institution.

If you do not agree to these Terms, do not create an account or use the Platform.

AVMS.AI provides a compliance management platform for automated valuation models (AVMs) used in mortgage lending. The Platform includes AVM confidence normalization, five-factor compliance policy enforcement, cryptographic audit trails, nondiscrimination monitoring, vendor analytics, and quality control sampling.

The Platform is a tool that assists your institution in implementing quality control standards. It does not provide legal, regulatory, or compliance advice. Your institution is responsible for determining the appropriateness of its compliance policies and procedures.

You must provide accurate and complete information when creating an account. The initial account holder becomes the root administrator for your institution's tenant. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.

The Platform is offered through annual subscription plans as described on our Pricing page. Plans are billed annually at the beginning of each subscription period.

Free trials provide full Platform access for the trial period. No payment information is required to start a trial. At the end of the trial period, you must subscribe to continue using the Platform.

You may upgrade your plan at any time with prorated billing for the remainder of the current period. Downgrades take effect at the next renewal. We do not offer refunds for partial subscription periods.

You retain all ownership rights to the data you submit to the Platform, including loan information, AVM reports, property data, and originator information (“Your Data”). We do not claim ownership of Your Data.

You grant us a limited license to process Your Data solely for the purpose of providing the Platform services — including compliance validation, MISMO normalization, nondiscrimination analysis, and cryptographic proof generation. This license terminates when your subscription ends and your data is deleted.

Protocol data generated by the Platform (hash chains, session seals, policy check results, audit trails) is derived from Your Data and is part of your compliance evidence. You retain rights to export and use this protocol data.

The Platform generates cryptographic compliance evidence including session seals, protocol events, hash chains, and audit trails. This evidence is designed to support your institution's compliance with the AVM Final Rule (12 CFR Part 1125).

We make commercially reasonable efforts to ensure the accuracy and integrity of compliance evidence generated by the Platform. However, we do not guarantee that the Platform satisfies all regulatory requirements applicable to your institution. Your institution is responsible for evaluating whether the Platform meets its specific compliance needs.

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to circumvent access controls or tenant isolation
• Reverse-engineer, decompile, or disassemble the Platform
• Submit fraudulent, misleading, or synthetic data with intent to deceive
• Share account credentials or API keys with unauthorized parties
• Exceed rate limits or engage in abusive usage patterns
• Resell, sublicense, or redistribute Platform access

The Platform, including its architecture, code, design, documentation, and the SOPA protocol engine, is the intellectual property of AVMS.AI. These Terms do not grant you any rights to our intellectual property except the limited right to use the Platform during your subscription.

The MISMO Common Confidence Score standard is a trademark of the Mortgage Industry Standards Maintenance Organization. AVMS.AI is not affiliated with MISMO. References to the MISMO standard describe the platform's normalization methodology.

We strive to maintain high availability of the Platform but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. Enterprise plans include SLA-backed uptime guarantees as specified in the Enterprise agreement.

To the maximum extent permitted by law, AVMS.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or business opportunities.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. After cancellation, your data is retained for 90 days, then securely deleted.

We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if required by law. We will provide reasonable notice before termination except in cases of material breach or legal requirement.

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah.
